Board structure & responsibilities

Information about the structure of the Trustee Board and its role and responsibilities. 

Structure

The trustees provide leadership and direction to NDCS and support the Chief Executive in delivering the strategic plan and achieving the mission. The trustees are legally responsible for the ways in which resources are allocated and for ensuring that this satisfies the NDCS's charitable objectives.

The Trustee Board has a maximum membership of 19 trustees. The board consists of up to 15 trustees who are parents or carers of deaf children and are voted into office by the membership at the AGM. In addition, there are up to four trustees who are elected by the trustee board who do not have to be a parent or carer of a deaf child, but that are able to bring skills, experience, expertise as well as appropriate UK geographical representation to complement the skills mix on the board.

The Honorary Chair and Vice Chair are required to be parents or carers of deaf children and together with the Honorary Treasurer and Deputy Treasurer and non parent trustees are voted into position by the full trustee board on an annual basis at their first meeting following the AGM.

Each year one third of the parent trustees who have been in office the longest since last election need to offer themselves for re-election. Parent trustees are able to stand for a maximum of three terms of three years, whilst non parent trustees can serve for up to nine terms of one year. After maximum service, all trustees must have a break of three years in service before being eligible to stand for re-election.

The Trustee Board is supported by three sub-committees:

  • The Finance and General Purposes Committee, which oversees all financial and administrative matters of the Society, ensuring its viability and reporting back to the Trustee Board.
  • The Governance Sub Committee, which is responsible for ensuring the Trustee Board has appropriate governance structures and processes in place and an appropriate skills mix on the board.
  • The UK Services Committee, which advises on strategy for NDCS's services to stakeholders in the UK and monitors performance.

Code of Conduct for NDCS trustees

All trustees of NDCS are expected to comply with a Code of Conduct which sets out high standards of integrity and stewardship, to ensure that NDCS is effective, open and accountable.
